November was quiet on the M&A front with only four transactions being reported.  Nonetheless, three PE shops did pull the trigger and added to their existing portfolios.  Let’s hope that more PE funds decide that we’re close enough to the bottom to start deploying their capital.  Company valuations have taken such a hit over the last year that financial buyers may be able to turn a profit despite the fact that most the traditional LBO lenders are still hoarding cash.

As 2010 draws closer and income trusts’ valuations continue to reflect the impending change in their tax status, private equity shops continue to take out the operating assets owned by these formerly popular vehicles.  Teranet and Connors Bros. are the latest two targets of takeovers by PE players that continue to buy these assets in spite of the reported absence of cheap debt.  In other news, Canada lost one of its technology companies to Nokia and, in a sign of the times, MAAX Corporation was taken over by the distressed investment arm of Brookfield Asset Management.

M&A activity appears to be gaining a little bit of traction, although very little of it is coming out of the technology space.  The only two tech deals this month were the US-led acquisitions of Q9 Networks and KnowledgeWhere.  The other big news included the privatization of a well known Canadian brand and two large deals in the oil services space.

There were nine notable M&A transactions announced in June, five of which were cross border transactions involving a company or financial buyer out of the United States.  July’s activity included five deals in the software space, two of which were cross border transactions involving a larger US player providing an exit for investors in a smaller Canadian target.

There were 5 M&A transactions reported in June – the same number of deals as the figure reported in May but only one half of the total number of transactions recorded in June of 2007.  Perhaps due in small part to the current conditions in the credit markets, only one of the transactions involved financial buyers as the remainder of the deals were driven by strategic acquirers, all of which came from the technology space.

All of the 6 reported M&A transactions were cross border deals.  Most notably, three technology companies, one based in Toronto and two in Ottawa, were each acquired by U.S. communication companies.

M&A activity remained steady in March 2008.  Of the 8 reported M&A transactions, only 3 were of the cross border variety.  March's M&A transactions primarily consisted of Canadian publicly-owned companies acquiring private technology companies.

Cross border M&A heated up in February 2008.  Of the 7 cross border M&A transactions, February saw a British Columbia-based tech company acquire a telecom, and a multimedia company within one week.
