We came across six private Canadian M&A deals this September, which is two more deals than in August but four fewer than the ten deals we reported in September of 2009. Five of the deals were cross-border transactions – two involving a financial buyer and three involving a strategic acquisition. The only all-Canadian acquisition was that of a successful Ottawa-based burger chain by an Oakville company that is interested in growing the brand beyond the Ottawa area.


Canadian M&A transactions:


The Works Gourmet Burger Bistro
, a restaurant chain known for offering 67 unique gourmet burgers, was acquired by Fresh Brands, an Oakville-based company specializing in brand expansion, for $10 million. Fresh Brands plans to introduce the chain, whose six locations are all in the Ottawa area, to other regions of Canada.


Cross Border M&A


IHS
(NYSE: IHS), a Colorado-based company that provides its diversified client base with industry data, technical documents, consulting services and custom software solutions, acquired Quebec-based Atrion International, a Walsingham Fund portfolio company. IHS made the acquisition in order to integrate Atrion’s product compliance solutions into its own offering.


Connecticut-based Catterton Partners, a private equity firm that invests solely in companies that deal with consumer products, acquired Alasko Foods, a Montreal-based frozen food importer. Terms of the transaction were not disclosed.


Green Mountain Coffee Roasters (NASDAQ: GMCR), a Vermont-based coffee roaster, marketer and distributor expanded its North American presence by acquiring Montreal-based Van Houtte from Littlejohn & Co for $915 million. Green Mountain started its push into Canada in 2009 with the acquisition of Toronto-based Timothy's Coffees of the World for $157 million.

Tricor Pacific Capital, a Vancouver-based private equity firm, acquired BFG Supply, a Texas-based distributor of plant cultivation products. Terms of the transaction were not disclosed.

Livingston International, a Toronto-based customs broker with a presence at airports, seaports, and key border points across the US and Canada expanded their operations on the US-Mexico border by acquiring Texas-based Maquilogistics.
